{"id":332862,"date":"2026-10-02T08:07:53","date_gmt":"2026-10-02T04:07:53","guid":{"rendered":"https:\/\/real-estate-mauritius.mu\/?p=332862"},"modified":"2026-10-02T08:10:21","modified_gmt":"2026-10-02T04:10:21","slug":"promesse-de-vente-mauritius-conditions-precedent","status":"publish","type":"post","link":"https:\/\/real-estate-mauritius.mu\/en\/promesse-de-vente-mauritius-conditions-precedent\/","title":{"rendered":"Promesse de Vente in Mauritius: Conditions Precedent, Deposit and Time to the Deed"},"content":{"rendered":"<p>In Mauritius, a promise of sale signed by both sides already counts as a sale once they agree on the property and the price (Mauritian Civil Code, art. 1589). Unless the document gives you a way out, you are bound on the day you sign, not on the day of the deed at the notary. There are two ways out: earnest money (arrhes), or a condition precedent written into the agreement. The Civil Code sets no deadline between the promise and the deed, so the timetable is whatever your agreement says.<\/p>\n<h2>What a promesse de vente actually commits you to<\/h2>\n<p>Under the Civil Code, a sale is complete as soon as the parties agree on the thing and the price, even if nothing has been paid or handed over (art. 1583), and it can be made by notarial deed or by private agreement (art. 1582). Article 1589 draws the consequence: the promise of sale is the sale when both parties consent. If one side fails to perform, the other can either force the sale through, where that is possible, or ask for it to be cancelled and claim damages, and cancellation has to be requested in court (art. 1184). The text only covers a promise where both sides have agreed. Where only one side is bound, for instance an option given to the buyer until a set date, the contract itself decides the rules: read who is bound, and until when.<\/p>\n<p>One more point. What protects your right against third parties is the transcription of the deed of sale. As a rule, a right in immovable property cannot be set up against a third party whose rights are secured by law unless the deed is transcribed (Transcription and Mortgage Act, s. 5). The notary draws up the notarial deed; the <a href=\"https:\/\/real-estate-mauritius.mu\/en\/notary-property-purchase-mauritius\/\">notary&#8217;s role<\/a> has its own page.<\/p>\n<h2>Conditions precedent: what the law allows and what you need to write<\/h2>\n<p>A sale can be unconditional, or made subject to a condition precedent (condition suspensive) or a condition subsequent (art. 1584). An obligation under a condition precedent depends on a future, uncertain event, and it can only be performed once that event has happened (art. 1181). While the condition is pending, the property stays at the seller&#8217;s risk. If it is destroyed through no fault of the seller, the obligation lapses; if it is damaged through no fault of the seller, the buyer can either cancel or take it as it stands with no reduction in price (art. 1182).<\/p>\n<p>Three rules of the Civil Code bear directly on the drafting:<\/p>\n<ul>\n<li>a condition with no date only fails once it becomes certain that the event will not happen, while a condition with a set date is treated as failed when the period runs out (art. 1176). A condition with no deadline can therefore leave the agreement hanging indefinitely;<\/li>\n<li>an obligation that depends only on the will of the person who takes it on is void (art. 1174). &ldquo;If I still like the property&rdquo; is not a valid condition precedent; &ldquo;if my bank grants the loan&rdquo; is, because it rests on a third party;<\/li>\n<li>a condition is treated as fulfilled when the person bound under it has prevented it from being fulfilled (art. 1178). A buyer who deliberately slows down the loan application cannot later rely on the condition having failed.<\/li>\n<\/ul>\n<p>The law lists no standard conditions. For an existing property, they are the ones you have written in. Depending on your situation, you might include obtaining finance, lifting a mortgage registered against the property and, for a foreign buyer, EDB authorisation. That last one matters: according to the EDB guidelines, a transfer of immovable property to a non-citizen without the required approval is void. For an existing property, nothing in the law does this for you.<\/p>\n<h2>Time to the deed: the one you write<\/h2>\n<p>No article of the Civil Code sets a period between the promise and the deed of sale. The real timetable is the sum of what remains to be obtained: loan approval, EDB authorisation, discharge of mortgage registrations, checks on title. The EDB does not prescribe a processing time for applications outside the schemes and says it will, as far as possible, acknowledge receipt within 5 working days (January 2025 guidelines on acquisition for business purposes).<\/p>\n<p>In practice, set a deadline for each condition and a long-stop date for signing the deed, and say what happens after it: a written extension, or lapse and refund of the deposit. Without a date, article 1176 works against you: the condition can stay open until it is certain that it will fail.<\/p>\n<h2>Where the money goes when you sign<\/h2>\n<p>For an existing property, the Civil Code puts no cap on the deposit paid when the promise is signed and does not say where it must be held. Have the agreement state that the sum is held by the notary in their account, not handed to the seller or the agency. Also separate, in writing, earnest money (which gives each side the right to withdraw, art. 1590) from a plain part-payment of the price: the difference changes what you lose if you pull out. The rules on the origin of funds are covered in our article on <a href=\"https:\/\/real-estate-mauritius.mu\/en\/proof-of-funds-property-mauritius\/\">proof of funds<\/a>.<\/p>\n<p>At the deed, a non-citizen&#8217;s purchase price goes through the notary&#8217;s account in a hard currency (EDB IRS\/RES\/PDS guidelines), and the notary must include a clause in which the parties declare that the price stated is the real price; without it, the Registrar-General refuses to register the deed (Notaries Act, s. 20).<\/p>\n<h2>New-build and off-plan: a preliminary contract governed by law<\/h2>\n<p>When a home is sold before it is finished, the Civil Code regulates the preliminary contract under which the seller undertakes to reserve the property for you against a guarantee deposit (art. 1601-38 to 1601-45). The contract must be in writing, you must receive a copy before any money is paid, and the draft deed of sale must be sent to you at least one month before signing. It is returned without deduction or penalty in five cases (art. 1601-45): the sale is not concluded within the agreed time because of the seller; the price is more than 5% above the estimated price; the loans provided for are not obtained or are more than 10% lower than forecast; a promised item of equipment will not be built; or the property is worth more than 10% less than what was promised. These protections apply to the sale of a building still to be built. The EDB guidelines list the presale contract among the documents for an application to acquire a home in an IRS, RES or PDS project and, for acquisition for business purposes outside the schemes, a compromis de vente endorsed by a notary. The expected order is therefore: promise first, authorisation next, deed last. The promise then needs to be conditional on that authorisation, as explained above.<\/p>\n<h2>Mistakes that cost money<\/h2>\n<ul>\n<li>signing with no long-stop date for the conditions, or with a condition that depends on you alone;<\/li>\n<li>paying the deposit to the seller or the agency instead of the notary;<\/li>\n<li>leaving the fate of the deposit vague if a condition fails;<\/li>\n<li>confusing earnest money with a part-payment;<\/li>\n<li>signing in euros or dollars without having weighed the exchange rate between promise and deed (see <a href=\"https:\/\/real-estate-mauritius.mu\/en\/currency-risk-buying-property-mauritius\/\">currency risk<\/a>);<\/li>\n<li>leaving the promise without a notary&#8217;s review when the EDB expects, for acquisition for business purposes, a compromis endorsed by a notary.<\/li>\n<\/ul>\n<h2>Frequently asked questions<\/h2>\n<h3>Can the promise be made without a notary?<\/h3>\n<p>The Civil Code allows a sale by notarial deed or by private agreement (art. 1582), so nothing in principle rules out a private document. But the deed of sale of a property is in practice a notarial deed, and the EDB asks for a compromis endorsed by a notary for acquisition for business purposes. Having the notary draft the promise saves you from redoing it.<\/p>\n<h3>Who pays the costs of the deed?<\/h3>\n<p>Under the Civil Code, the costs of deeds and other incidentals of the sale fall on the buyer (art. 1593), unless the parties agree otherwise. If it is destroyed through no fault of the seller, the obligation lapses; if it is damaged through no fault of the seller, you can choose between cancelling and taking it as it stands with no reduction in price (art. 1182).<\/p>\n<h3>What if I am the seller?<\/h3>\n<p>The same rules bind you: the promise you sign counts as a sale and the buyer can ask for it to be performed.
